Terms & Conditions

These Terms apply to use of the Dark Cell Supply website and purchases made directly through it.

By placing an order, you confirm that you have read and agree to these Terms and Conditions, the Refund and Returns Policy, the Shipping Policy and the Privacy Policy.

1. Dark Cell Supply

Dark Cell Supply is an independent online patch store operated from Ireland.

2. Eligibility

Customers must be legally capable of entering into a contract.

Customers under 18 may place an order only with the involvement and permission of a parent or legal guardian.

Customers are responsible for ensuring that products can lawfully be purchased, imported, possessed and used in their location.

3. Product Information

Reasonable care is taken to keep product descriptions, photographs, dimensions, prices and availability accurate.

However:

• screen colours and lighting may affect appearance;

• measurements described as approximate may vary slightly;

• minor production variations may occur;

• typographical or technical errors may occasionally appear.

Nothing in this clause permits Dark Cell Supply to provide goods that materially differ from their agreed description.

4. Availability

Products may be produced in limited quantities and may sell out without notice.

Adding an item to a basket does not reserve it.

If stock information is incorrect or an item becomes unavailable, Dark Cell Supply may offer an alternative, provide a revised fulfilment estimate or cancel and refund the affected item.

No substitute will be supplied without the customer’s agreement.

5. Orders and Acceptance

Submitting an order is an offer to purchase.

An automated acknowledgement confirms receipt of the order but does not necessarily mean the order has been accepted.

An order is accepted when Dark Cell Supply confirms acceptance, begins agreed custom work or dispatches the goods.

Dark Cell Supply may refuse or cancel an order before acceptance for reasons including:

• unavailable stock;

• an obvious pricing or description error;

• suspected fraud or unauthorised payment;

• inability to ship to the destination;

• legal or regulatory restrictions;

• abusive or threatening conduct;

• attempted misuse of discounts;

• an incomplete or unverifiable address;

• failure to provide information needed to fulfil the order.

Any payment received for an order cancelled before acceptance will be refunded.

6. Prices

The customer must review the product price, shipping charge, discounts, currency and total before completing payment.

Customs duties, taxes and destination-country fees are not included unless expressly stated.

Prices may change at any time but will not normally affect an accepted order.

Dark Cell Supply may cancel an order containing an obvious pricing error that a reasonable customer would recognise as incorrect.

 

7. Payment

Payment must be made using an available checkout method.

Orders will not be dispatched until cleared payment has been received.

A payment that is pending, reversed, rejected, disputed or subject to an uncleared eCheck is not treated as completed payment.

Payment providers may apply their own terms.

8. Promotions

Discount codes and promotions:

• are subject to their stated conditions;

• may expire;

• may apply only to specified products or customers;

• cannot be exchanged for cash;

• cannot be applied retrospectively;

• cannot be combined unless expressly allowed.

Dark Cell Supply may reject fraudulent, abusive or technically erroneous use of a promotion before the associated order is accepted.

9. Custom Orders

Custom orders are governed by the agreed specification, proof, dimensions, materials, quantity and price.

The customer is responsible for checking approved proofs carefully, including spelling, wording, dimensions and layout.

Changes requested after approval or production begins may be refused, delayed or charged separately.

Deposits and committed production costs may be non-refundable to the extent permitted by law and only where they reflect genuine work or costs already incurred.

The change-of-mind right may not apply to genuinely personalised or customer-specified goods.

10. Customer-Supplied Material

A customer supplying artwork, logos, text or instructions confirms that they own the necessary rights or have permission to use them.

Dark Cell Supply may refuse work where there is a reasonable concern about legality, ownership or reputational risk.

To the fullest extent permitted by law, the customer is responsible for claims arising specifically from material or instructions they supplied.

11. Unofficial Products

Some products are unofficial fan-made items inspired by fictional works, games or other media.

Unless expressly stated otherwise, Dark Cell Supply is not licensed by, affiliated with, sponsored by or endorsed by the relevant rights holder.

Third-party names and marks remain the property of their respective owners.

This disclaimer does not itself create an intellectual-property defense.

12. Dark Cell Content

Original Dark Cell artwork, photography, written copy, branding and website content may not be reproduced or commercially used without permission.

This clause does not claim ownership of third-party intellectual property.

13. Product Use

Products are sold as decorative patches, stickers or accessories unless otherwise stated.

They are not official identification, safety equipment, protective equipment or substitutes for legally required markings.

Customers must not use products to impersonate officials, falsely claim authority or violate applicable law.

14. Shipping

Shipping methods, customs, delivery estimates and procedures for delayed, lost, damaged, refused or returned orders are governed by the Shipping Policy, which forms part of these Terms.

15. Returns and Refunds

Cancellation rights, return conditions, refund timing, faulty goods and exclusions are governed by the Refund and Returns Policy, which forms part of these Terms.

For customers outside Ireland, the EU or another jurisdiction providing mandatory cancellation rights, change-of-mind returns are accepted only where required by applicable law or agreed by Dark Cell Supply in writing.

16. Customer-Caused Delivery Failures

Where delivery fails because of an incorrect address, refusal, non-collection, unpaid customs charges or failure to respond to the carrier, Dark Cell Supply may require additional postage or deduct reasonable unrecoverable costs from any refund where legally permitted.

17. Reviews and Customer Content

Customers submitting reviews or photographs confirm that the material is genuine, lawful and does not infringe another person’s rights.

The customer grants Dark Cell Supply permission to display and reproduce voluntarily submitted review content for operating and promoting the store.

Spam, unlawful content, abuse and personal information may be removed.

18. Website Availability

Dark Cell Supply does not guarantee uninterrupted access to the website.

The website may be unavailable because of maintenance, Wix outages, payment-provider problems, security incidents, network failures or circumstances outside reasonable control.

This does not affect an order already accepted.

19. Third-Party Services

Third-party platforms, payment processors and linked websites may operate under their own terms and privacy policies.

Dark Cell Supply is not responsible for third-party services or transactions entered into directly with them, except where liability cannot legally be excluded.

20. Limitation of Liability

Nothing in these Terms excludes liability that cannot legally be excluded, including mandatory consumer remedies, fraud or liability for death or personal injury where exclusion is prohibited.

To the fullest extent permitted by law, Dark Cell Supply is not liable for:

• indirect or consequential loss;

• loss of profit, opportunity or anticipated savings;

• losses caused by misuse or unlawful use of a product;

• losses caused by customer-supplied errors or instructions;

• customs charges or delays imposed by authorities;

• failure to receive an item for a particular event where no guaranteed delivery date was expressly agreed;

• matters outside Dark Cell Supply’s reasonable control.

For customers purchasing wholly for business purposes, total liability arising from an order is limited, to the fullest extent permitted by law, to the amount paid for that order.

21. Events Outside Reasonable Control

Dark Cell Supply is not responsible for delays or failures caused by circumstances outside reasonable control, including postal disruption, customs action, severe weather, war, civil disturbance, government action, supplier failure or major platform outages.

This does not remove any refund or other remedy required by applicable law.

22. Complaints

Complaints should be sent to darkcellsupply@gmail.com with the order number and details of the issue.

Reasonable evidence may be requested.

23. Governing Law

These Terms are governed by Irish law.

For consumers in another jurisdiction, this does not remove mandatory consumer protections that apply to them.

Nothing in these Terms prevents a consumer from bringing proceedings in a court available to them under mandatory law.

24. Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue to apply where legally possible.

25. Changes

Dark Cell Supply may update these Terms for future orders.

The version applying to an order is the version available when the order was placed, unless a later change is required by law or expressly agreed.

26. Entire Agreement

These Terms, the applicable product listing, order confirmation, Shipping Policy, Refund and Returns Policy and Privacy Policy form the agreement for the order.

An individually agreed written term takes priority where it conflicts with these standard Terms.

27. Statutory Rights

Nothing in these Terms excludes, limits or replaces any right or remedy that cannot legally be excluded, limited or replaced.
